These Terms & Conditions ("Terms") govern every quotation, purchase order, and service engagement between Kova Display & Packaging Sdn. Bhd. ("Kova", "we", "us", "our") and any company, organization or individual that engages us ("Client", "you"). By issuing a purchase order, paying a deposit, or otherwise instructing us to proceed with an order, you accept these Terms in full.
Kova Display & Packaging Sdn. Bhd. is a company registered in Malaysia under Registration No. 202601026454 (1688550-X), with its registered address at LG 1-2, Seri Gembira Avenue, No. 6, Jalan Senang Ria, Kuchai Lama, 58200 Kuala Lumpur, W.P. Kuala Lumpur, Malaysia. Our registered business nature covers trading, ecommerce, wholesale, import and export of packaging materials, paper goods, labels, stickers, display materials, signage, exhibition products, event materials, printed materials and related goods, together with the provision of custom boxes, paper bags, labels, stickers, bunting, banners, signage, display stands, large-format printing, outsourcing, subcontracting, sales agency, commission, distribution and fulfilment services.
We supply custom boxes, paper bags, labels, stickers, bunting, banners, signage, display stands, large-format printing, exhibition and event materials, and printed materials, either from stock or produced to order in-house or through our outsourcing and subcontracting network. We also provide sales agency, commission, distribution and fulfilment services related to these product categories. The specific scope for any engagement is defined in the written quotation or proposal accepted by the Client, and these Terms apply in addition to, not instead of, the terms set out in that document.
Quotations issued by Kova are valid for 14 calendar days from the date of issue unless otherwise stated, after which prices may be revised to reflect changes in material cost, freight or currency exchange rates. A quotation is not a confirmed order. An order is confirmed only when the Client has (a) issued a written purchase order or accepted the quotation in writing, and (b) paid any deposit required under Clause 4. Minimum run sizes apply to most custom-produced categories and will be stated in the quotation; orders below the stated minimum may be subject to a small-run surcharge.
All prices are quoted in Malaysian Ringgit (MYR) unless otherwise agreed in writing, and exclude shipping, customs duties and applicable taxes unless expressly stated as inclusive. For custom-produced or subcontracted items, we require a non-refundable deposit of 50% of the order value before production begins, with the balance due prior to dispatch or upon delivery, as agreed in the quotation. For stock items and smaller orders, full payment may be required at the point of order. Accepted payment methods include bank transfer and such other methods as we may notify from time to time. Production will not commence, and dispatch will not proceed, until the applicable payment has cleared into our account.
Where an order involves custom print, cutting, folding or finishing, we will provide a physical or digital proof for the Client's written approval before full production begins, and production proceeds strictly according to that proof. Kova is not liable for errors or design faults present in and approved on the proof by the Client. Changes requested after approval may incur additional charges and extend the lead time. Artwork setup, plate, die or mould charges quoted separately are non-refundable once incurred, as they represent real costs paid to our production or subcontracting partners regardless of the final order outcome.
Lead times stated in a quotation are estimates based on standard production and shipping conditions and begin from the date of proof approval and deposit receipt, not from the date of order enquiry. Actual lead times may vary due to order complexity, subcontractor availability, customs clearance for imported materials, or events outside our reasonable control (see Clause 10, Force Majeure). We will notify the Client promptly of any material delay. Our full shipping arrangements, including costs, coverage and responsibility for customs duties on international orders, are set out separately in our Shipping Policy.
The Client warrants that it owns, or holds a valid licence to use, any logo, trademark or design it submits for reproduction, and indemnifies Kova against any claim arising from our use of Client-supplied artwork as instructed. Layout adaptations or dieline designs created by Kova specifically for an order remain Kova's intellectual property unless full ownership is separately negotiated and paid for in writing. We may photograph finished, non-confidential orders for our own portfolio and marketing use, unless the Client requests otherwise in writing at the time of order.
To the fullest extent permitted by Malaysian law, Kova's total liability arising out of or in connection with any order, whether in contract, tort or otherwise, is limited to the total value paid by the Client for that order. We are not liable for indirect, consequential or special losses, including loss of profit or business opportunity, even where advised such losses were possible. Nothing in these Terms limits liability for death, personal injury caused by negligence, or fraud, where such limitation is not permitted by law.
Cancellation requests must be made in writing. Orders may be cancelled without charge only before production has commenced and before any deposit has been applied to material or subcontractor costs. Once production has begun, cancellation is subject to the deductions and conditions set out in our Refund & Return Policy. Requests to change quantity, specification or artwork after order confirmation will be treated as a new quotation where the change materially affects cost or lead time.
Kova is not liable for any failure or delay caused by events beyond our reasonable control, including natural disaster, port congestion, factory or press closure, government restrictions, strikes, or shortages of materials or shipping capacity. Affected timelines will be extended by a period reasonably necessary to address the disruption, and we will keep the Client informed of material developments.
Each party agrees to keep confidential any pricing, specifications, artwork, business plans or other non-public information disclosed by the other party in connection with an order, and to use such information solely for the purpose of fulfilling that order, except where disclosure is required by law or by a relevant regulatory authority.
These Terms are governed by the laws of Malaysia. Both parties submit to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia, for any dispute arising out of or in connection with these Terms or any order placed with Kova, without prejudice to either party's right to seek interim relief in any jurisdiction where necessary to protect its interests.
We may update these Terms from time to time to reflect changes in our services, subcontractor arrangements or legal requirements. The version published on this page at the time an order is confirmed applies to that order. We encourage Clients to review this page periodically.
